1. Regulatory Status
Fort Noxx Music Partners Group is the operating name of FNMPG Holdings Inc. (the "Company"), a Delaware corporation. The Company is an advisory firm and principal investor in music and media assets. It is not registered as a broker-dealer, municipal advisor, placement agent, or investment adviser with the U.S. Securities and Exchange Commission or any state securities regulator, and it is not a member of the Financial Industry Regulatory Authority or the Securities Investor Protection Corporation. The Company is not registered or licensed as a bank, lender, loan broker, mortgage broker, or commercial finance provider in any jurisdiction.
2. Services and Their Basis
The Company's services fall into three practices. The basis on which each is provided is summarised below; the full disclosure appears in Section 6 of the Terms of Use.
Corporate Finance
Mergers and acquisitions advisory is provided principally on transfers of copyrights, royalty interests, master recordings, and related contract rights, which are generally not transactions in securities. Where an engagement involves the sale or purchase of equity in a privately held company, the Company relies on the M&A broker exemption from broker-dealer registration under Section 15(b)(13) of the Securities Exchange Act of 1934 and corresponding state exemptions, and observes the conditions of that exemption. Debt advisory is limited to introductions to unaffiliated financing providers, described in Section 3. Corporate development and board advisory are consulting services.
Financial Restructuring
Restructuring advisory consists of analysis, planning, and negotiation support for the client. It does not include the offer, sale, exchange, or placement of securities, the solicitation of votes or consents from security holders, or the raising of new capital. Any such activity required in a restructuring is conducted by the client or by appropriately licensed parties.
Financial and Valuation Advisory
Valuation, transaction advisory, and dispute consulting are analytical services delivered to the retaining client. They are not fairness opinions, solvency opinions, audits, or attestations under any professional standard unless separately engaged in writing, and they are not investment recommendations.
3. Financing Introductions and Compensation
The Company introduces clients to unaffiliated providers of catalog advances, royalty-based financing, and related commercial credit, including chordCash LLC, with which the Company has an agreement. The Company acts solely as a referring consultant: it is not a lender, does not purchase receivables, does not set financing terms, does not guarantee approval or funding, and does not act as agent for any provider. The Company may receive compensation from a financing provider in connection with a completed transaction, and discloses that arrangement to the client in writing before an introduction. All financing is subject to the provider's own underwriting, disclosures, and documentation. The Company does not arrange, broker, negotiate, or solicit commercial loans or other financing for borrowers located in California, and does not engage in any activity requiring licensure under the California Financing Law. More generally, the Company does not make introductions in any jurisdiction where doing so, or receiving compensation for doing so, would require a license, registration, or disclosure the Company does not hold or provide.
4. Principal Investing
The Company invests its own capital, and capital committed alongside it by co-investors on a deal-by-deal basis, in music rights and music and media companies under the working name Project EQINXX. Project EQINXX is not a fund, and the Company does not manage a pooled investment vehicle or provide investment advice to any person regarding securities. Information about the Company's investment criteria is published for prospective sellers and counterparties and is not an invitation to invest.
5. Conflicts of Interest
Because the Company both advises and invests, it maintains procedures designed to identify and manage conflicts of interest, including the following:
- advisory and principal investing are operated as distinct business lines, and participation in one creates no right, obligation, or expectation regarding the other;
- the Company does not invest in a transaction in which it acts as sell-side advisor;
- any principal co-investment alongside an advisory client is disclosed to that client in writing and made only with the client's prior consent;
- compensation from financing providers is disclosed to the client in writing;
- the Company represents more than one party to a transaction only with the prior written consent of each, following disclosure of the dual representation;
- conflict checks are conducted before an engagement is accepted, and the Company declines engagements where a conflict cannot be appropriately managed; and
- information received in an engagement is used only for that engagement, subject to the engagement agreement and applicable confidentiality obligations.
6. Jurisdictions Outside the United States
The Company is not authorised or registered with any securities or financial services regulator outside the United States. In the United Kingdom, the Company is not authorised by the Financial Conduct Authority and does not carry on regulated activities by way of business; nothing on the Site is a financial promotion or an invitation or inducement to engage in investment activity, and any communication with persons in the United Kingdom is directed only at persons with professional experience in matters relating to investments. In Canada, the Company is not registered as a dealer or adviser under the securities laws of any province or territory. The Company does not carry on, and does not hold itself out as carrying on, any activity in any jurisdiction that would require registration or authorisation it does not hold.
7. Official Communications and Impersonation
The Company communicates only from email addresses at the fnmpg.com domain and publishes information only at fnmpg.com. The Company does not solicit investments from the public, does not offer investment products, and will never ask any person to transfer funds by email alone or to a new or changed account without independent verification. Communications that purport to come from the Company but use another domain, or that request payment, account credentials, or personal identification, should be treated as fraudulent. Please report them to info@fnmpg.com before taking any action. See also the Email Disclaimer.
8. Inquiries and Complaints
Questions about the Company's regulatory status, and any complaint about the Company's services or conduct, may be sent to info@fnmpg.com with the subject line "Attention: Compliance." Complaints are reviewed by a senior member of the Company not involved in the matter, acknowledged promptly, and responded to in writing.
